These terms govern your use of shoutback.com, assessment.shoutback.com, the Referral Readiness Assessment, the Referral Revenue Roadmap, Privaire, and any private referral network we design, launch, or operate for you. By using any of these, you agree to what follows. If you're agreeing on behalf of a business, you confirm you have the authority to bind it.

1. The service

Shoutback Concepts, LLC ("Shoutback," "we," "us"), an Ohio limited liability company, designs, launches, facilitates, and supports private referral networks for businesses ("Client," "you"). The business that holds a network engagement and pays for the network is referred to in these terms as the Anchor, and was called the Host in earlier versions of our materials; the two terms mean the same thing. Depending on what you engage us for, this may include the Referral Readiness Assessment, the Referral Revenue Roadmap, network design and category structure, network configuration, Anchor and Partner onboarding, ongoing facilitation of your network under our then-current network program, and access to Privaire.

Privaire is the private network platform we operate and make available to Anchors, Partners, and the members they invite. Shoutback provides both the platform and the managed services around it. You are not purchasing a self-service software license, and you are not purchasing a purely advisory engagement. What you receive is described in your order.

Our network program — the methods by which we facilitate introductions among network participants — is determined by us and may include scheduled meetings, structured introduction processes, written or recorded formats, automated or AI-assisted facilitation, and other methods we adopt. No particular format, cadence, or method of facilitation is guaranteed.

2. Eligibility

Anchors and Partners are businesses, not consumers. If you are engaging us as an Anchor or Partner, you must be at least 18 and legally able to enter contracts. You agree that the information you provide to us — in the assessment, during onboarding, or otherwise — is accurate to the best of your knowledge, since our work is built directly on it.

Individuals invited into a network as members receive access at no charge, at the discretion of the business that invited them. Members are bound by Sections 10 and 11 and by any separate member terms we present at signup. Members have no payment obligation of any kind.

3. The Referral Readiness Assessment

The assessment is provided free of charge. It produces a directional estimate of referral revenue opportunity based on figures you supply. It is an estimate, not a projection, forecast, or promise. The output depends entirely on the accuracy of your inputs and on assumptions that may not hold for your business.

You may use your assessment results for your own purposes without restriction. We may use de-identified, aggregated assessment data for benchmarking and research, in a form that does not identify you or your business.

4. The Referral Revenue Roadmap

The Roadmap is prepared from your Referral Readiness Assessment results. Completing the assessment is a prerequisite, because the Roadmap is built directly from it. The Roadmap is available in two ways:

  • As a standalone purchase, at $1,950 or such other price as is stated at the time of purchase. This Section governs a standalone purchase.
  • As part of a network engagement under Section 5. Section 5 governs that engagement in full, including its refund position.

We may make the Roadmap available at no charge or at a price stated at the time it is offered, and may change how and whether it is offered at any time.

Satisfaction guarantee — standalone purchases only. If a Roadmap you purchased on a standalone basis does not meet your expectations, email hello@shoutback.com within 14 days of delivery and we will refund that purchase in full. No explanation required. After 14 days the deliverable is considered accepted and the fee is non-refundable. A refund is conditional on you ceasing all use of the Roadmap and confirming in writing that you have deleted or destroyed all copies; the license granted in Section 13 terminates on refund.

Scope of the guarantee. The satisfaction guarantee applies only to a standalone purchase of the Roadmap. It does not apply to a network engagement under Section 5, to any portion of the fee for such an engagement, to a Roadmap delivered as part of such an engagement, or to any other deliverable, service, or fee. This is so whether or not the Roadmap is separately identified, described, itemized, or valued within a network engagement or in any related material. No part of a network engagement fee is refundable by reference to this Section.

The Roadmap is an analysis built on figures you supply, not a projection or a promise. Section 15 applies to it.

5. The network engagement

A network engagement is $4,950 per year. One business — the Anchor — holds the engagement and pays the fee. Businesses the Anchor invites into the network as Partners are not charged.

The fee covers the Referral Revenue Roadmap, network design and category structure, configuration of the network on Privaire, Anchor onboarding, partner structure and onboarding, the meeting framework and playbook, automated participation tracking and category administration, and reporting. Network sessions are convened and led by the Anchor using materials we provide; Shoutback supplies the platform and the framework rather than a facilitator, except where an Order expressly says otherwise.

Payment options. $4,950 paid annually in advance; or a $950 setup fee followed by twelve monthly payments of $495. In every case the engagement is a twelve-month agreement. Fees are stated in U.S. dollars and exclude any applicable taxes.

Twelve-month term, and no cancellation for convenience. Building and populating a network takes approximately sixty to ninety days before it produces introductions. Accordingly a network engagement runs for twelve months from commencement and carries no cancellation right, no satisfaction guarantee, no trial period, and no change-of-mind refund. Where you pay monthly, the remaining months of the term remain due. The 14-day satisfaction guarantee in Section 4 does not apply to a network engagement or to any portion of its fee, including any portion attributable to the Roadmap.

Fees become earned as the corresponding design, Roadmap, configuration, onboarding, operation and reporting work is performed, and once performed are not refundable. The Referral Readiness Assessment is provided at no charge, and a standalone Roadmap is available under Section 4, so that you can evaluate our work before committing to this engagement.

Your participation. Your engagement assumes your participation as described in your Anchor Network Order and the Shoutback Launch Playbook, including identifying prospective Partners, making agreed introductions, participating in onboarding, and providing timely information and approvals. Fees are earned as the work is performed, regardless of the extent of your participation. Where launch or any other milestone is delayed by your failure to provide information, make introductions, attend scheduled sessions, or give approvals, the affected timelines extend by the length of the delay. Delay or non-performance caused by you is not a failure by us to perform and entitles you to no refund, credit, or reduction in fees.

Renewal. Unless either party gives written notice at least 30 days before the end of the term, a network engagement renews for a further twelve months at then-current pricing. We will give at least 30 days' notice of any price change before renewal.

6. Partner and member seats

Partners are not charged. A business invited into a network by the Anchor holds its seat at no cost. Members invited by the Anchor or by a Partner are likewise not charged, and are never charged for access at any time.

A seat is held by participation rather than by payment. Each Partner is expected to attend the network sessions, to bring specific opportunities to them, and to record introductions given and received. Section 7 sets out what happens where a Partner does not.

Where a network is designated as category-exclusive, a Partner holds the only seat in its designated category for that network while it holds that seat. Section 11 governs network composition.

A Partner may leave at any time on written notice, at no cost and with no fee due. Departure of a Partner does not affect the Anchor's engagement or its fees, and does not entitle the Anchor to any refund or reduction — Section 15 applies.

If an Anchor's payment fails, we will attempt to reach you and may suspend access until the account is current. Sustained non-payment past 30 days may result in termination of the engagement and closure or restructuring of the network under Section 12.

7. Cancellation, renewal, and discontinuation

Your cancellation. A network engagement runs for its twelve-month term as set out in Section 5 and cannot be canceled for convenience during that term; where you pay monthly, the remaining months remain due. You may decline renewal by writing to hello@shoutback.com at least 30 days before the end of the term. Fees already paid are not prorated or refunded. A Partner holding a seat at no cost may leave at any time on written notice.

Termination by us for cause. We may terminate immediately for non-payment, misuse of a network, or conduct that exposes us or other members to legal risk.

Participation. Participation is a condition of holding a seat, and it is what a Partner gives in place of a fee. A network only produces value if its participants take part in it, and every other participant is relying on that. Where a Partner repeatedly does not attend network sessions, or does not engage with the network over a sustained period, we will raise it with them directly first. If it is not resolved, we may end their participation on 30 days' written notice and offer the seat to another business in that category. No fee is refundable to a Partner, because none was charged. Where an Anchor does not participate, Section 5 applies and fees remain earned.

Discontinuation by us. We may discontinue Privaire, an individual network, or all or a material portion of the Shoutback and Privaire service, at our discretion, on at least 30 days' written notice. If we do so other than for cause:

  • an Anchor paying monthly will not be charged for any period after the effective termination date;
  • an Anchor who paid annually will receive a pro-rata refund of prepaid fees attributable to the period after the effective termination date;
  • no refund is owed for service already provided; and
  • Roadmap, design, configuration, onboarding and other fees for work already performed are not refundable solely because Privaire or a network is subsequently discontinued.

To the maximum extent permitted by law, that pro-rata refund of unused prepaid fees is your sole monetary remedy for our voluntary discontinuation of the service, subject to the other provisions of these terms.

8. Changes to the platform and how services are delivered

We may modify, replace, improve, automate, or discontinue individual Privaire features, and may change how network services are delivered — including how introductions are facilitated and recorded, the cadence and format of any network sessions, and which functions are performed by people rather than by automated or AI-assisted systems.

No particular feature, meeting, meeting format, cadence, facilitator, human involvement, software function, or operational process is guaranteed to remain unchanged or to continue at all. We may replace human facilitation with automated facilitation in whole or in part. Changes that materially and adversely affect a paid subscription are subject to the notice provision in Section 18.

9. Authorization to send on your behalf

Where your engagement expressly includes managed sending on your behalf, you authorize Shoutback to draft and send referral, partner outreach, reactivation, and recognition communications from your business's email domain or platform, under the standing approval terms established during onboarding.

You represent and warrant that:

  • You have a lawful basis and any required consent to contact the recipients you provide to us
  • The contact data you supply was collected lawfully and is not purchased, scraped, or rented
  • You will promptly forward any opt-out, complaint, or legal notice you receive relating to these communications

We will maintain sending practices intended to comply with the CAN-SPAM Act and, where applicable, CASL — accurate sender identification, working unsubscribe, valid postal address, and honoring opt-outs across your lists.

You may revoke or modify this authorization at any time in writing. Revocation takes effect within two business days; campaigns already queued may complete sending.

10. Your data and your clients' data

Data you provide about your own clients, former clients, and partners remains yours. With respect to that data, you act as controller and Shoutback acts as your processor: we use it solely to deliver the services you've engaged us for, do not use it for our own marketing, do not merge it with other clients' data, and do not sell it.

On termination of your engagement, of your network, or of the Privaire service, we will provide reasonable access to export your data for at least 30 days from the effective termination date. After that period we will return or delete it in accordance with the Privacy Policy and applicable law, except where retention is required by law. The Privacy Policy is incorporated into these terms.

11. Private networks and member conduct

If you participate in a Privaire network, you, the partners you invite, and the members invited into it agree not to:

  • Share, export, or repurpose another member's contact information outside the network
  • Use the network to market to other members' clients without an introduction
  • Misrepresent your business, credentials, or the nature of a referral
  • Attempt to access any network, circle, or space you have not been invited to

Networks are operated as isolated environments. We take reasonable measures to prevent visibility between separate networks. You are responsible for the conduct of partners you invite, and we may remove any participant whose conduct breaches this section.

Network composition. Where a network is designated as category-exclusive, we generally limit participation to one business in each designated category for that network. Categories, and whether a network is category-exclusive at all, are determined by us in the network design. A category that becomes vacant may be offered to another business. We do not guarantee that any category will be filled, will remain filled, or will be held by any particular business, and the composition of a network will change over time.

12. Network continuity

A network is designed, configured, and operated by Shoutback. A network does not terminate because any particular participant ceases to participate.

If an Anchor's participation ends for any reason — cancellation, non-payment, termination, or otherwise — we may, at our discretion:

  • designate a replacement Anchor, including from among the participating Partners;
  • continue to operate the network without a designated Anchor;
  • restructure, merge, rename, or re-scope the network; or
  • discontinue the network in accordance with Section 7.

A Partner seat is not terminated or suspended by the departure of the Anchor or of any other Partner. A seat is held for participation in a Shoutback-operated network and is not conditional on the participation of any particular Anchor, Partner, or member. Because a Partner seat carries no fee, no refund arises in any event.

A departing Anchor retains its own client relationships, its own client data, and its rights under Section 10. A departing Anchor has no continuing right to the operation of a network, to the participation of any Partner, or to any fee paid by any other participant.

13. Intellectual property

Shoutback retains ownership of its methodology, frameworks, assessment instrument, scoring logic, templates, playbooks, and all underlying materials. Nothing in an engagement transfers ownership of these to you.

You receive a non-exclusive, non-transferable license to use the deliverables we produce for you — including your Roadmap — internally within your business, for as long as you like, including after your engagement ends. You may not resell, republish, license, or distribute our frameworks or templates to third parties, or use them to build a competing service.

You retain ownership of your own content, brand assets, and data. You grant us a limited license to use them solely to deliver the services.

14. Confidentiality and indemnity

Each party agrees to keep the other's non-public business information confidential and to use it only in connection with the engagement. This obligation survives termination by three years.

Operational learnings. We operate multiple networks and may use non-identifying operational learnings — such as event formats, scheduling patterns, and facilitation practices — to improve other networks we operate. We will not disclose your business identity, your members, your client information, your introductions, or your commercial terms to any other network or its participants.

You agree to indemnify and hold Shoutback harmless from claims arising out of contact data you supplied to us in breach of Section 9, content you directed us to send, or conduct by partners you invited into a private network. We agree to indemnify you against claims arising from our own gross negligence or willful misconduct in performing the services.

15. No guarantee of results

Shoutback provides assessment, strategy, network design, facilitation, and access to Privaire. We do not guarantee referrals; referral volume; introductions; revenue; close rates; business opportunities; participation by other network members; continued participation by any particular Anchor, Partner, or member; the number or type of businesses in a network at any time; any particular method, cadence, or format of facilitation, or continued human involvement in it; or any particular financial result.

Outcomes depend on factors outside our control — including your market, your team's follow-through, your participation in launching and sustaining your network, the quality of your client relationships, and general economic conditions.

Nothing we provide constitutes legal, tax, accounting, or investment advice. Figures shown in calculators, assessments, and reports are illustrative models built on your inputs, not predictions.

16. Limitation of liability

To the maximum extent permitted by law, neither party is liable to the other for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, or lost business opportunity, even if advised of the possibility.

To the maximum extent permitted by law, Shoutback's total aggregate liability for any claim arising from these terms or the services is limited to the fees you paid to Shoutback in the three months preceding the event giving rise to the claim.

Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

17. Governing law and disputes

Shoutback Concepts, LLC is an Ohio limited liability company. These terms are governed by the laws of the State of Ohio, without regard to its conflict-of-law rules.

Before filing any formal claim, the parties agree to attempt to resolve the dispute in good faith by direct discussion for at least 30 days after written notice. If that fails, any dispute will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in Ohio. Each party bears its own costs unless the arbitrator decides otherwise.

Either party may bring an individual claim in small claims court instead. To the extent permitted by law, disputes will be resolved individually, not as a class action.

18. Entire agreement, changes, and contact

We may update these terms as our services evolve. The "last updated" date reflects the current version. For material changes affecting an active engagement or paid subscription, we will give at least 30 days' notice by email; continuing to use the services after that period constitutes acceptance.

These terms, the Privacy Policy, any separate member terms we present at signup, the Shoutback Launch Playbook, and any applicable Anchor Network Order, checkout or order form, or signed engagement document together constitute the entire agreement between us.

The Launch Playbook sets out the process, sequencing, and timescales for designing and launching a network, and we may update it from time to time. Playbook changes govern process and timing. A Playbook change that materially increases your obligations will not apply to a live engagement without at least 14 days' notice, and will not apply retroactively.

Where an Order conflicts with these terms, the Order controls for the commercial terms it expressly addresses, and these terms control for everything else. Where the Playbook conflicts with these terms or an Order, these terms and the Order control.

If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it. Questions about these terms can be sent to hello@shoutback.com.
